1. Acceptance of Terms and Scope

These Terms and Conditions govern your access to and use of the Neuralist marketing website at neuralist.io and the Neuralist application and related services. By accessing or using any part of the website or application, you agree to be bound by these Terms. If you do not agree, do not use Neuralist.

2. Eligibility

You must be at least 13 years old, or the age of digital consent in your jurisdiction if higher, to use Neuralist. If you use Neuralist on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms.

3. Accounts

To use the application, you must create an account with our authentication provider. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use or suspected breach of security.

4. Subscriptions and Billing

Certain features require a paid subscription processed by our payment provider. Prices, plan features, and limits are described on our pricing page and may change. Taxes may apply based on your location. If your payment method fails, we may suspend or cancel access to paid features until payment is resolved.

Trials, promotions, and discounts may be offered from time to time and are subject to the terms presented when you sign up.

5. Cancellation and Refunds

You can cancel your subscription at any time. Cancellation takes effect at the end of the current billing period unless stated otherwise during a specific promotion. Except where required by law, fees are nonrefundable. After cancellation, you will retain access to free features where available.

6. Acceptable Use

You agree not to:

  • Use Neuralist in a way that violates laws or regulations
  • Upload or share content that is infringing, unlawful, harmful, or invasive of privacy
  • Attempt to access accounts or systems without authorization
  • Interfere with or disrupt the integrity or performance of Neuralist
  • Reverse engineer or attempt to derive source code except to the extent permitted by law

7. Your Content

You may submit tasks, notes, plans, and other content to Neuralist. You retain any rights you have in your content. You grant Neuralist a limited license to host, process, and display your content to provide and improve the services. You are responsible for your content and for ensuring that you have all rights needed to submit it.

8. AI Features

Neuralist includes optional AI features that process the prompts and context you choose to send. Output may be incorrect, incomplete, or inappropriate for your situation. You should review AI output and use your judgment before acting on it. We may use third party providers to deliver AI functionality and will send only the data needed to fulfill your request. According to the provider’s documentation, data submitted via their API is not used to train or improve their models.

9. Service Availability and Changes

We may modify, suspend, or discontinue features at any time to improve performance or for other reasons. We will try to provide reasonable notice for changes that materially affect your use, but we may make urgent changes without notice when needed for security or compliance.

10. Intellectual Property

Neuralist, including its content, branding, design, and underlying software, is owned by Neuralist or its licensors and is protected by intellectual property laws. Except as permitted by these Terms, you may not copy, modify, distribute, or create derivative works from Neuralist.

11. Third Party Services

Neuralist uses third party providers for authentication, payments, email, hosting, analytics, and AI functionality. Your use of Neuralist may also be subject to those providers’ terms and policies. We are not responsible for third party services that we do not control.

12. Privacy

For information on how we collect, use, and protect personal data, please see our Privacy Policy. By using Neuralist you acknowledge that processing described in the Privacy Policy applies to your use of the website and application.

13. Disclaimers

Neuralist is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant that the services will be uninterrupted, secure, or error free.

14. Limitation of Liability

To the fullest extent permitted by law, Neuralist will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use Neuralist. Our total liability for any claim relating to the services will not exceed the amounts paid by you to Neuralist during the twelve months before the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Neuralist and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your content, your use of Neuralist, or your violation of these Terms.

16. Termination

You may stop using Neuralist at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to address security or operational risks. Upon termination, the rights granted to you will end. Sections that by their nature should survive will survive termination.

17. Changes to These Terms

We may update these Terms from time to time. The revised Terms will be effective when posted on this page. Your continued use after changes become effective constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of the State of Tennessee and applicable United States federal law, without regard to conflict of law rules. Venue for any dispute will be the state or federal courts located in Tennessee, and you consent to their jurisdiction.

19. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of our right to do so later.
